Agreement

By clicking on “Accept” you are agreeing to enter into a legally binding contract with the Click A Dent and affiliated companies in respect of its Teledentistry dental service as described in greater detail hereinafter. If you do not agree to these terms, do not wish to enter into a contract or do not wish to use our services please do not click on “Accept”.

Services

This Agreement applies to the Click A Dent and any company legally operating under the business name the Click A Dent with its principal dentist registered as Dr. Hassan El-Awour (“Click A Dent”) and all employees, agents and associates working for or on behalf the Click A Dent involved in the operation of its Teledentistry dental service in the Province of Ontario.

The Teledentistry dental service (“Service”) shall consist of a virtual examination of up to fourty-five (45) minutes through live video transmission/video conference administered by a dentist duly licensed to practice dentistry by the Royal College of Dental Surgeons of Ontario. The Service, or any portion thereof, is non-transferrable and/or assignable and has no cash value.

In the event the live video examination is insufficient for diagnostic purposes or you wish to proceed with the dental service as recommended by the dentist providing the examination, the Click A Dent will waive its in-person clinical assessment fee (dentist fee only not including labs, x-rays and other third party costs) at any of its operating clinics offering inpatient emergency care.

Payment

A payment in the applicable amount shall be made at the time the Service is scheduled through our online portal. The payment is non-refundable save and except in exceptional circumstances as determined by us at our sole and absolute discretion.

The payment is non-transferrable and/or assignable to any other person or persons.

Video Conferencing

It is your responsibility to have access to an electronic device (i.e. desktop, laptop, tablet etc.) that contains a camera or allows for an external camera permitting live video and audio conferencing through an internet connection. The Service will take place in ‘real time’ through Zoom online software at the scheduled appointment time chosen by you.

By accepting these Terms and Conditions you agree that you have an appropriate electronic device capable of utilizing Zoom software and agree to use the audio and video functions offered through the software. The failure to have the necessary electronic hardware and/or software and and/or internet connection shall not be grounds for refund or cancellation.

Disruption of Video Conference

After the live video conference is initiated if it is disrupted and/or disconnected, irrespective of the cause, the dentist who was providing the Service shall reschedule an appointment, based on availability and not sooner than twenty-four (24) hours from the original appointment, for a duration equal to the amount of time (rounded up to the nearest minute) that remained in the originally scheduled appointment. You will then receive an electronic message notifying you of the rescheduled date and time and be asked to confirm or modify the newly scheduled appointment.

If you choose to modify the re-scheduled appointment you must choose a date and time within three (3) days of the re-scheduled appointment, subject to the availability of the dentist providing the Service.

If you fail and/or refuse to confirm or modify the re-scheduled appointment within twenty-four (24) hours after receiving the re-scheduled date, you will be deemed to have accepted the re-scheduled appointment and forfeited your right, if any, to cancel or reschedule.

The re-scheduled appointment will proceed on the rescheduled date and time and you will be able to access the live video conference for up to ten (10) minutes after the scheduled time. If you do not access the live video conference within the prescribed time, the re-scheduled appointment will be forfeited and there shall be no further re-scheduling and no refund or abatement in payment.

Prescriptions

At the time of scheduling an initial appointment for Service, you will be given the option to provide the name and address of a pharmacy registered with the Ontario College of Pharmacists (“pharmacy of choice”) that you wish to use to fulfill any prescription(s) administered by the dentist providing the Service, if any. We will make reasonable efforts (up to a maximum of thirty (30) minutes of telephone calling) to ensure your pharmacy of choice receives the prescription.

If after making reasonable efforts to communicate directly with your pharmacy of choice we are unable to speak with a pharmacist or a duly authorized agent of a pharmacist we will leave a detailed voice message regarding the prescription. If you are unable to confirm that your prescription has been received by your pharmacy of choice within twenty-four (24) hours of your appointment, you will be required to contact us to make alternate arrangements.

Alternate arrangements for prescriptions consist of your prescription being sent to one of our partnering pharmacists that offers delivery (cost to be determined between you and pharmacy). The prescription will be sent to our partnering pharmacist that is closest to the address you provided through our portal. Alternate arrangements will be made if you do not provide a pharmacy of choice or your pharmacy of choice does not receive your prescription based on the terms above.

Privacy and Consent

By accepting these Terms and Conditions you are providing your express, informed consent for us to video and audio record the entire Service and collect, use and disclose all personal health information obtained from you, including video and audio recordings, for the following purposes:

• to deliver safe and efficient patient care

• to identify and to ensure continuous high-quality service

• to assess your health needs

• to provide health care

• to advise you of treatment options

• to enable us to contact you

• to establish and maintain communication with you

• to offer and provide treatment, care and services in relationship to the oral and maxillofacial complex and dental care generally

• to communicate with other treating health care providers, including specialists and general dentists who are the referring dentists and/or peripheral dentists

• to allow us to maintain communication and contact with you to distribute health care

information and to book and confirm appointments

• to allow us to efficiently follow-up for treatment, care and billing

• for teaching and demonstrating purposes on an anonymous basis

• to complete and submit dental claims for third party adjudication and payment

• to comply with legal and regulatory requirements, including the delivery of patients’ charts and records to the Royal College of Dental Surgeons of Ontario in a timely fashion, when required, according to the provisions of the Regulated Health Professions Act

• to comply with agreements/undertakings entered into voluntarily by the member with the Royal College of Dental Surgeons of Ontario, including the delivery and/or review of patients’ charts and records to the College in a timely fashion for regulatory and monitoring purposes

• to permit potential purchasers, practice brokers or advisors to evaluate the dental practice

• to allow potential purchasers, practice brokers or advisors to conduct an audit in preparation for a practice sale

• to deliver your charts and records to the dentist’s insurance carrier to enable the insurance company to assess liability and quantify damages, if any

• to prepare materials for the Health Professions Appeal and Review Board (HPARB)

• to invoice for goods and services

• to process credit card payments

• to collect unpaid accounts

• to assist us in complying with all relevant regulations

• to comply generally with the law
